Description

The addendum is issued to address questions submitted. 1. Ownership and Legal Structure 1. Will the sale transfer only physical assets (fiber, conduit, trailer, splicers), or also include all existing customer service agreements and lease rights? 1. Yes, however there is only one active lease. It is with the Commerce City Schools and expires in 2027. See attached 2. Does the transfer include conduit rights and pole-attachment licenses currently held by the City, or must the buyer obtain new agreements from Jackson EMC or other utilities? 1. The transfer would not include pole attachment agreements. The purchaser would need to arrange payment to pole owners for any existing attachments. This would include the City of Commerce poles. 2. Our over-head fiber is mostly located on City of Commerce Poles. 1. The count for commerce attachments are: 391 pole attachments. 2. We know of one (1) attachment on a JEMC pole. 3. Is the City willing to execute a short-term transition MOU or service agreement to maintain current connectivity during closing and handover? 1. No, we prefer a permanent agreement be executed at the time of closing. Bidders are encouraged to build MOU details into their transition plan. 2. City Connectivity and Service Requirements 4. Please confirm whether the 2 Gbps symmetrical service to the City and the 14 facility interconnections will be paid services under a new SLA or provided in-kind. 1. The City is open to either “in kind” proposals or a paid services agreement. An example would be a 2 gbps service and dark fiber agreements for City connectivity with a reduced pole attachment costs. 5. If billable, does the City have an existing internal budget line for this connectivity, and can we propose a flat monthly rate in our offer? 1. We do not have a budget that would be helpful in budgeting this future arrangement. Commerce would prefer a flat monthly/annual rate for ease of budget planning. 6. Should bidders include service-level response times (e.g., 4-hour MTTR) in the proposal, or will the City define those post-award? 1. Yes, a MTTR will be a factor in scoring for Section Four – Evaluations Criteria. Please submit details of MTTR service level in submittals. 3. Existing Customers and Contracts 7. Other than Commerce City Schools, are there any active paying customers on the network? 1. Yes, at the time of this Addendum there are: 1. One (1) 1gbps dedicated fiber customer 2. Four (4)10 mbps dedicated customer 3.
