East Bay Regional Park District 2950 Peralta Oaks Court, Oakland, CA, 94605 Contract For General Services (Over $10,000) This Contract for General Services (“Contract”) dated _January 1, 2027__________ (“Effective Date”) is entered into by and between the East Bay Regional Park District (“District”), and ________________________________, (“Contractor”). The parties agree as follow: 1. Scope of Work. During the term of this Contract, Contractor will provide all labor, materials, tools, equipment and services as set forth in Exhibit A—Scope of Work, attached hereto and incorporated herein by reference (“Scope of Work”). The Scope of Work shall be scheduled and performed to meet agreed- upon deadlines. Time is of the essence in performance of this Contract. 2. Term. The term of this Contract shall commence on the Effective Date and shall terminate on __December 31, 2031_______ unless extended or terminated as provided herein. 3. Payment. a. Compensation. For the first two years of this Agreement, District will compensate Contractor for catfish at a fixed price of $ per pound. For years three to five of this Agreement, the price for catfish may be increased at the rate of the annual Consumer Price Index (CPI) increase for Northern California, subject to review and approval by the District. Notwithstanding the foregoing, the District’s total payments to Contractor under this Agreement, will not exceed $_______________________ (“Payment Limit”) for all goods and services rendered under this Agreement. District will not pay for services that exceed the Payment Limit unless District has signed a contract amendment in advance. All reimbursable expenses incurred as part of this Contract will be reimbursed at actual cost, and no expenses will be advanced by District. b. Invoices. Contractor shall submit invoices based on the cost for all services performed and reimbursable expenses incurred prior to the invoice date. Invoices will, at a minimum contain the following information: (i) the beginning and ending dates of the billing period; (ii) a detailed task summary containing the original contract amount, the amount of prior billings, the total due this period and a description of the work performed and total hours performed under the Contract by each employee, agent, and subcontractor of Contractor performing services hereunder for this billing period.
