DocuSign Envelope ID: 5CDA50C6-257C-4568-9A52-1CAD500DD634 CHELAN-DOUGLAS METHOW HATCHERY INTERLOCAL COOPERATIVE AGREEMENT THIS AGREEMENT is made by and between PUBLIC UTILITY DISTRICT NO. 1 OF DOUGLAS COUNTY/ WASHINGTON ("Douglas or Douglas PUD"), and PUBLIC UTILITY DISTRICT NO. 1 OF CHELAN COUNTY WASHINGTON ("Chelan or Chelan PUD")/ collectively referred to as "Parties" and individually as "Party". Recitals: A. The Parties are authorized/ pursuant to RCW Chapter 39.34 to enter into Interlocal Cooperative Agreements. B. Chelan implements hatchery production under the authority/ terms/ and conditions of the Rocky Reach Habitat Conservation Plan (HCP). C. Chelan's hatchery production obligations under the HCP are overseen by the Hatchery Committee (as defined in the HCP and referred to herein as "HCP Hatchery Committee"). The obligations are adopted in the Federal Energy Regulatory Commission license for Chelan's Rocky Reach Project (FERC Project No. 2145). The obligations include steps to protect and mitigate for impacts to Methow Basin spring Chinook salmon. D. Chelan desires to have anadromous spring Chmook produced at the Methow Fish Hatchery owned and operated by Douglas. E. Chelan desires to final acclimate sprmg Chinook at the Douglas PUD-owned/ Chelan PUD-operated/ Chewnch Acclimation Pond/ located on the Chewuch River. F. Chelan also desires to pay a fixed price for the operation and maintenance of the Methow Hatchery/ its use of the Chewuch Acclimation Pond, and the inhatchery facility monitoring and evaluation program costs necessary to support the production of yearling spring Chinook by Douglas on behalf of Chelan at the MEethow Hatcheiy. G.
